1. SPONSOR: "Watch, Save and Win" Sweepstakes from Valpak (the "Sweepstakes") is sponsored by Valpak Direct Marketing Systems, Inc. ("Valpak") ("Sponsor").

2. HOW TO ENTER AND PLAY. The Sweepstakes will begin at 12:01:00 a.m. (ET) on March 23, 2009 and end at 04:59:59 p.m. (ET) on May 1, 2009 (the "Sweepstakes Period"). Participants can only enter online. To enter the Sweepstakes, obtain the special URL printed directly on the inside of specially-marked Valpak envelopes and complete the registration form as instructed below to obtain a Bonus Round Puzzle Solution necessary to play in the Sweepstakes (the "Registration"). Participants who do not receive the specially-marked Valpak envelope may enter into the Sweepstakes by visiting www.wheelofvalpak.com. Tune-in to Wheel of Fortune (the "Show") nightly from April 20, 2009 through April 24, 2009 ("the Viewing Period") to see if the Bonus Round Puzzle Solution you received during Registration matches any of the five (5) Bonus Round Puzzle Solutions featured on the Show during the Viewing Period. If the Bonus Round Puzzle Solution a participant received matches what was featured on the Show, participants will need to complete a "Confirmation Entry" as outlined below. Participants who complete Registration during or after the Viewing Period, or that are unable to view the Show, may confirm their Bonus Round Puzzle Solution by submitting a Confirmation Entry as outlined below.

   Registration: Complete the official registration form, available at www.wheelofvalpak.com, by entering your first name, last name, street address, city, state/province, zip/postal code, daytime phone number, birth date, email address, mobile telephone number (optional) and a password. Participants will also be prompted to check an optional "opt-in" box which will indicate their consent to receive email communication about the Sweepstakes from Sony Pictures Television Inc. Submit your Registration by clicking on the "SUBMIT" button. Upon successful Registration, the participant will be presented with a randomly selected Bonus Round Puzzle Solution. Participants that have elected to receive email communication from Sony Pictures Television Inc., will also receive an email confirming their Bonus Round Puzzle Solution and password. Registration limitations: Maximum of one (1) Registration and one Bonus Round Puzzle Solution per person and per email address during the Sweepstakes Period. The Registration of multiple email addresses for one person, attempts to submit multiple Registrations through the same email address, and/or incomplete Registrations will result in disqualification. Any other form of Registration or participation is void. Participants may withdraw their consent to receive email communication at any time by selecting the "Unsubscribe" option.

   Tune-in: To confirm if your Bonus Round Puzzle Solution is featured during the Show, tune-in to Wheel of Fortune each night during the Viewing Period (check your local listings for times). One Bonus Round Puzzle Solution will be featured on the Show each night. If your Bonus Round Puzzle Solution is featured during the Viewing Period of the Show, follow the instructions below for submitting a Confirmation Entry.

   Confirmation Entry: To submit a Confirmation Entry during the Viewing Period, visit www.wheelofvalpak.com after 6:00 pm (ET) each day and log in using your email address and password provided during Registration. If your Bonus Round Puzzle Solution was featured during that day's Show or any one of the Shows that have previously aired during the Viewing Period and you successfully completed and submitted the Registration and Confirmation Entry as outlined, you will receive a Congratulations message and you will automatically be entered into the applicable drawing, as described in #6 below. If your Bonus Round Puzzle Solution was not featured on that day's Show or any one of the Shows that have previously aired during the Viewing Period, you will receive a message to try again. Your Bonus Round Puzzle Solution will only be matched against Shows that have already aired, it will not be matched against Shows that have not yet aired. Updates to Bonus Round Puzzle Solutions that have aired on the Show will be made on www.wheelofvalpak.com at or about 6:00pm (ET) each day during the Viewing Period.

   If you complete Registration after the Viewing Period, or you are unable to watch the Show during the Viewing Period, you can submit a Confirmation Entry at any time from 12:01:00 am on April 25, 2009 through 04:59:59 pm (ET) on May 1, 2009 to confirm if your Bonus Round Puzzle Solution was featured. To do so, visit www.wheelofvalpak.com and log in using your email address and password provided during Registration. If your Bonus Round Puzzle Solution was featured on the Show during the Viewing Period and you successfully completed and submitted the Registration and Confirmation Entry as outlined, you will receive a Congratulations message and you will automatically be entered into the applicable drawing, as described in #6 below. If your Bonus Round Puzzle Solution does not match any that were featured during the Viewing Period, you will receive a Sorry message and you will not be entered into any drawings.

   All Confirmation Entries must be received no later than 04:59:59 p.m. (ET) on May 1, 2009 in order to be eligible for entry into one (1) of the five (5) separate, random drawings as outlined in #6 below. There is no limit to the amount of times an entrant can submit a Confirmation Entry to confirm if their Bonus Round Puzzle Solution was featured. You are not eligible for one of the five (5) separate, random drawings unless your Bonus Round Puzzle Solution was featured during the Show during the Viewing Period and you have successfully completed and submitted a Registration and Confirmation Entry.

3. PREEMPTION OF SHOWS. Check local listings for Show schedules, which may be changed or preempted without notice in one (1) or more broadcast areas (e.g., due to remote Show tapings and other changes to the production schedule, special announcements, programs that may disrupt normal TV programming, or local station programming pre-emptions). In these cases, at the election of the Show, the Sweepstakes may be played outside the above-stated dates. Sweepstakes Entities shall have no responsibility or liability to any participant for any such changes to the Show schedule.
4. NO LIABILITY FOR ENTRIES NOT RECEIVED. The time and date of receipt of any Registration or Confirmation Entry will be determined solely by the date and time logs of the server designated by Sony Pictures Television Inc., to receive such Registrations and Confirmation Entries.. Registrations or Confirmation Entries that are lost, late, misdirected, garbled, incompletely received, or incomplete, for any reason, including by reason of spam filters, hardware, software, browser or network failure, malfunction, congestion or incompatibility at the website of Sony Pictures Television Inc., or any other Sweepstakes Entities websites will not be eligible and the Sweepstakes Entities are not responsible for any technical problems related to online entries. Proof of sending will not be deemed to be proof of receipt by Sony Pictures Television Inc. All Registrations and Confirmation Entries become the property of Sony Pictures Television Inc. In the event of a dispute in connection with the identity of the individual who submitted a Registration or Confirmation Entry, the Registration or Confirmation Entry will be deemed to have been submitted by the authorized account holder of the email account identified on the form. The authorized account holder is deemed to be the natural person who is assigned to an email address by an Internet access provider, service provider, or other online organization that is responsible for assigning email addresses for the domain associated with the submitted email address.
5. ELIGIBILITY. Subject to the additional limitations set forth below, the Sweepstakes is open only to legal residents of the 50 United States and the District of Columbia who are eighteen (18) years of age or older, or have reached the age of majority in their state of residence, whichever is older, at the start of the Sweepstakes and to residents of Canada (excluding the province of Quebec) who have reached the age of majority in their province of residence at the start of the Sweepstakes. Employees of Sponsor, Sony Pictures Television Inc., Sony Pictures Digital Inc., Sony Pictures Entertainment Inc., CBS Television Distribution, Quadra Productions, Inc., the Show, Sweepstakes administrator, their advertising or promotion agencies, those involved in the production, development, implementation or handling of the Sweepstakes, participating stations, stations airing the Show, any agents acting for, or on behalf of the above entities, their respective parents, subsidiaries, and related companies, officers, directors, , affiliates, licensees, service providers, any other person or entity associated with the Sweepstakes (collectively "Sweepstakes Entities"), members of their immediate families (spouses, children, siblings, parents), and/or persons living in the same household as such persons, whether or not related, are ineligible to participate in the Sweepstakes.
6. PRIZES, ODDS & DRAWINGS. There will be twenty (20) prizes of five thousand U.S. dollars each ($5,000 USD) awarded in this Sweepstakes. Prizes will be provided in the form of a check. The total value of all prizes is one hundred thousand U.S. dollars ($100,000 USD). There will be five (5) separate, random prize drawings, one (1) for each night of the Show that aired during the Viewing Period. Participants that had a correct Bonus Round Puzzle Solution featured on the Show and that successfully completed and submitted a Registration and Confirmation Entry will be entered into only one of the drawings as follows: Four (4) provisional prize winners will be randomly selected for each of the five (5) prize drawings based on the airing date on which the Show featured their Bonus Round Puzzle Solution. For example, there will be a random drawing of four (4) provisional prize winners for the Show that aired on April 20, 2009 from among those participants that successfully completed and submitted a valid Confirmation Entry confirming the correct Bonus Round Puzzle Solution featured on the Show on that date, a separate random drawing of four (4) provisional prize winners for the Show that aired on April 21, 2009, and so forth. Participants not selected as a provisional winner in the applicable random drawing will not be eligible for any of the other drawings. Odds of receiving a Bonus Round Puzzle Solution that was featured on the Show are 1 in 50. Odds of winning a prize will depend on the number of eligible Confirmation Entries received for that particular prize drawing. Prizes are non-assignable and nontransferable. Where applicable, the winners are solely responsible for payment of all taxes on, and for any costs incurred in claiming or using, the prize. Sponsor may issue a form 1099 as required by the Internal Revenue Service to each winner of a prize. Each prize winner will be required to claim his or her prize by completing, signing and notarizing an affidavit of eligibility, a liability release and, except where prohibited by law, publicity release, which must be returned via mail or hand delivery within ten (10) business days of date of sender's postmark. Failure of any prize winner to timely sign, notarize and return any required affidavit and release, or to claim his or her prize or comply with any term or condition of these Official Sweepstakes Rules, will result in disqualification and the forfeiture of his or her interest in the prize. Prize winners must sign any other legal documents which Sponsor may require (including W9 tax forms, where applicable). Non-compliance may result in disqualification. The award of all prizes is subject to verification of eligibility and compliance with these Official Sweepstakes Rules.
7. WINNER SELECTION, NOTIFICATION AND ACCEPTANCE. To be eligible for one of the five (5) separate, random prize drawings, all Confirmation Entries must be received by 04:59:59 p.m. (ET) on May 1, 2009. Only one prize per person will be awarded. Prize Drawings: Five (5) random drawings from among all eligible Confirmation Entries will be conducted on May 8, 2009 to select four (4) provisional prize winners for each of the five (5) prize drawings. The drawings will be conducted as follows: twenty (20) provisional winners will be selected at random as noted above by an independent fulfillment center designated by the Sponsor. Sponsor's fulfillment center will attempt to contact the selected provisional winners ("Provisional Winner") by telephone using the telephone number or mobile telephone number, if applicable, provided on the Provisional Winners' Registration. If Sponsor's fulfillment center is unable to reach a Provisional Winner in person by telephone (Sponsor's fulfillment center may call up to three times and no messages will be left), that Provisional Winner will be disqualified and a substitute Provisional Winner will be randomly selected from among the remaining eligible Confirmation Entries for the particular Show in question. Subject to the additional requirements in #8 below for Canadian Provisional Winners, the first twenty (20) eligible Provisional Winners that the Sponsor successfully contacts personally by telephone, that accept the terms of being a prize winner and that satisfy the requirements of these Official Sweepstakes Rules will be declared an official prize winner. Actual award of a prize is subject to verification of the selected Provisional Winner's eligibility and compliance with the terms and conditions of these Official Sweepstakes Rules. Prizes in the form a check for the prize amount will be sent to winners to the address provided on their Registration within two (2) weeks of being declared an official prize winner. Sweepstakes Entities are not responsible for and will not issue a replacement check if any prize check is lost, misplaced, stolen, or mutilated. Unless prohibited by law, acceptance of a prize constitutes permission for the Sweepstakes Entities to use the winner's name, address (city and state/province) and/or likeness for advertising and trade purposes without further compensation, worldwide and in perpetuity, in any and all forms of media, now known and hereafter devised, including without limitation the Internet.
8. CANADIAN WINNER. A Canadian Provisional Winner, in order to win and receive a prize, must first correctly answer, unaided and without mechanical or electronic assistance, a time-limited mathematical skill-testing question administered by mail or by telephone. Failure of a Canadian Provisional Winner to correctly answer the skill-testing question in the time allotted will result in disqualification and the forfeiture of his or her interest in the prize, and the random selection of a substitute Provisional Winner from among all remaining eligible Confirmation Entries for the particular Show in question. Sponsor's fulfillment center will attempt to contact a Canadian Provisional Winner three times by telephone at the telephone number or mobile telephone number, if applicable, provided on the Canadian Provisional Winner's Registration form. If Sponsor's fulfillment center is unable to reach a Canadian Provisional Winner by telephone (Sponsor's fulfillment center may call up to three times in a 24-hour period and no messages will be left), that Canadian Provisional Winner will be disqualified and a substitute winner may be randomly selected from the remaining eligible Confirmation Entries (for selection of a substitute Provisional Winner, remaining eligible participants will consist of the remaining Confirmation Entries for the Show in question).
9. CONDITIONS. By entering, participants agree to be bound by these Official Sweepstakes Rules and by the decisions of Sponsor, which shall be final and binding in all respects. Any person attempting to defraud or in any way tamper with this Sweepstakes will be ineligible for prizes and may be prosecuted to the full extent of the law.
10. DISCLAIMERS. By entering, participants acknowledge and agree that the Sweepstakes Entities will not be liable for losses or injuries of any kind resulting from acceptance/possession/use and/or misuse of prize(s), the theft of prizes or mail, participation in the Sweepstakes, printing, mailing or distribution errors, or any malfunctions of the telephone network, computer Internet system, computer dating mechanism, computer equipment, software, or any combination thereof, or for any entries that are late (including delayed data transmissions), tampered with, garbled, incomplete, misdirected, lost, forged, illegible, mechanically duplicated, or otherwise not in compliance with these Official Sweepstakes Rules. Sweepstakes Entities are not responsible or liable for any injury or damage to any participant's or third person's computer and/or its contents, related to or resulting from Sweepstakes. Sponsor reserves the right to terminate, suspend or modify the Sweepstakes if, in its sole discretion, it determines that for any reason the Sweepstakes is not capable of running as originally planned, or fraud, technical failures, printing, mailing or distribution errors, or any other unanticipated causes or occurrences have compromised the fairness or integrity of the Sweepstakes. In the event the Sweepstakes is terminated prior to the stated end date, Sponsor reserves the right to award all prizes in a random drawing from among all eligible Registrations received as of the date of termination. By participating in this Sweepstakes, each participant hereby indemnifies and holds harmless Sweepstakes Entities from and against any and all claims, demands, causes of action, liabilities, and costs and expenses, including reasonable legal fees and court costs arising out of or in connection with such participant's participation in this Sweepstakes or use of the prizes.
11. SWEEPSTAKES MAIL OPT-OUT REQUEST/WINNERS' LIST. To request the name and hometown of the winners (available after June 19, 2009) and/or a copy of these Official Sweepstakes Rules, send a self-addressed, stamped business-size envelope to "Watch, Save and Win" Sweepstakes from Valpak, P.O. Box 13428, St. Petersburg, Florida 33733, Attn: Promotions Department. Indicate whether you are requesting the name of the winners or a copy of these Official Sweepstakes Rules, or any combination of the foregoing. Residents of Vermont may omit return postage for rules.
